Business: InTouch was established in West Yorkshire in 1990 as a reprographics originator to the packaging sector and following a number of acquisitions is now recognised as a leading brand management services provider to a range of blue-chip clients.

Deal: Having consolidated the UK market and created a market-leading position the InTouch shareholders sold the business for £22m to Matthews Corporation Inc, a US-based group with a focus on brand graphics management and packing reprographics.

Our Role: McInnes Corporate Finance worked with InTouch Group for over 5 years, advising on their acquisition trail and acting as strategic advisers to the owner-managers throughout this period. Following a number of unsolicited approaches to the business, McInnes Corporate Finance worked with the management team to produce a detailed Information Memorandum and prepare them for formal presentations of the business to prospective acquirers. A controlled process was run with a number of interested parties and ultimately the decision to award exclusivity to Matthews Corporation was driven not only by the structure of their offer and their process to completion but also the strong cultural and strategic fit between the organisations.

McInnes Corporate Finance have helped realise an outstanding outcome for the shareholders by remaining close to the management team and building a sound understanding of the business and market in which we operate. This understanding helped identify the appropriate time for exit and the potential acquirers most likely to pay the maximum value.
